Terms of Service — FormsByState

1. Not a law firm; no legal advice

FormsByState provides general information and self-help document templates. We are not lawyers, we do not review your documents, and nothing on this site is legal advice or a substitute for advice from a licensed attorney in your state. Use of the site does not create an attorney-client relationship. Laws change and vary by locality; you are responsible for confirming that a document is appropriate for your situation.

2. Your account and conduct

You must be at least 18. You are responsible for the accuracy of what you enter and for how you use the documents. You may not use the service to create fraudulent documents, to misrepresent facts to third parties, or for any unlawful purpose. We may suspend accounts that violate these Terms.

3. License

When you download a document you receive a non-exclusive, perpetual license to use that document for your own personal or business purposes. You may not resell, redistribute or republish our templates, clause text or generators.

4. Purchases

Prices are shown in U.S. dollars before you begin. Single document: one-time payment; includes unlimited edits and re-downloads of that document type for 14 days. 7-Day Pass: one-time payment; all documents for 7 days; it ends automatically and is never renewed. Pro: a subscription billed monthly or yearly through Stripe until you cancel; we send a reminder email at least 3 days before each renewal; you may cancel at any time from your account or by emailing us and keep access until the end of the paid period. No free trial converts into a paid plan.

5. Refunds

See our Refund Policy: full refund within 30 days of any purchase if you are not satisfied.

6. Disclaimer of warranties

THE SERVICE AND ALL DOCUMENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. We do not warrant that any document will be accepted by any court, agency, lender or third party.

7. Limitation of liability; sole remedy

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE SERVICE OR A DOCUMENT IS A REFUND OF THE AMOUNT YOU PAID FOR THAT DOCUMENT OR PLAN. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMSBYSTATE AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM THE SERVICE OR ANY DOCUMENT, INCLUDING FROM ANY ERROR OR OMISSION IN A TEMPLATE OR IN OUR STATE-LAW DATA, AND OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $50 IF YOU PAID NOTHING). Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud, gross negligence or willful misconduct. Some jurisdictions do not allow these limitations, so they may not apply to you.

8. Indemnity

You agree to indemnify us against claims arising from your misuse of the service or documents or your violation of law or these Terms.

9. Intellectual property

The site, software, clause library and design are owned by FormsByState and protected by copyright and other laws. Documents you generate from your own information are yours to use under the license above.

10. Termination

You may stop using the service at any time. We may terminate access for breach of these Terms. Sections 1, 3, 6, 7, 8, 9 and 11, 12 survive termination.

11. Who we are; governing law

FormsByState is operated as a sole proprietorship based in the State of New York ("we"). These Terms and any dispute are governed by the Federal Arbitration Act and the laws of the State of New York, without regard to conflict-of-laws rules.

12. Disputes: informal resolution, binding arbitration, class-action waiver

Informal resolution first. Before starting any proceeding, you agree to email us at hello@formsbystate.com with a description of the problem and give us 30 days to resolve it. Most issues are solved with a refund.

Binding arbitration. Any dispute not resolved informally shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, by a single arbitrator, in the county where you live or by video/phone. Arbitration fees are allocated per the AAA consumer fee schedule; we will pay any filing fee above $50. The arbitrator may award any relief a court could award to you individually. Judgment on the award may be entered in any court of competent jurisdiction.

CLASS-ACTION AND JURY WAIVER. YOU AND WE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND THAT BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement of intellectual property. Opt-out. You may reject this arbitration agreement by emailing hello@formsbystate.com within 30 days after you first accept these Terms, with your name and the email used on the site; opting out does not affect any other term. If the class-action waiver is found unenforceable for a claim, that claim shall proceed in the state or federal courts located in New York rather than in arbitration.

13. Changes

We may update these Terms; the new date will be shown above. Continued use after changes means you accept them.
