1. Not a law firm; no legal advice

FormsByState provides general information and self-help document templates. We are not lawyers, we do not review your documents, and nothing on this site is legal advice or a substitute for advice from a licensed attorney in your state. Use of the site does not create an attorney-client relationship. Laws change and vary by locality; you are responsible for confirming that a document is appropriate for your situation.

2. Your account and conduct

You must be at least 18. You are responsible for the accuracy of what you enter and for how you use the documents. You may not use the service to create fraudulent documents, to misrepresent facts to third parties, or for any unlawful purpose. We may suspend accounts that violate these Terms.

3. License

When you download a document you receive a non-exclusive, perpetual license to use that document for your own personal or business purposes. You may not resell, redistribute or republish our templates, clause text or generators.

4. Purchases

Prices are shown in U.S. dollars before you begin. Single document: one-time payment; includes unlimited edits and re-downloads of that document type for 90 days. 7-Day Pass: one-time payment; all documents for 7 days; it ends automatically and is never renewed. Pro: a subscription billed monthly or yearly through Stripe until you cancel; we send a reminder email at least 3 days before each renewal; you may cancel at any time from your account or by emailing us and keep access until the end of the paid period. No free trial converts into a paid plan.

5. Refunds

See our Refund Policy: full refund within 30 days of any purchase if you are not satisfied.

6. Disclaimer of warranties

THE SERVICE AND ALL DOCUMENTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. We do not warrant that any document will be accepted by any court, agency, lender or third party.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMSBYSTATE AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA OR GOODWILL, AND OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $50 IF YOU PAID NOTHING). Some jurisdictions do not allow these limitations, so they may not apply to you.

8. Indemnity

You agree to indemnify us against claims arising from your misuse of the service or documents or your violation of law or these Terms.

9. Intellectual property

The site, software, clause library and design are owned by FormsByState and protected by copyright and other laws. Documents you generate from your own information are yours to use under the license above.

10. Termination

You may stop using the service at any time. We may terminate access for breach of these Terms. Sections 1, 3, 6, 7, 8, 9 and 11 survive termination.

11. Governing law; disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact us at hello@formsbystate.com and attempt to resolve it informally for 30 days. Any dispute not resolved shall be brought in the state or federal courts located in New York, except that either party may use small-claims court where eligible.

12. Changes

We may update these Terms; the new date will be shown above. Continued use after changes means you accept them.
