如何在美国使用建筑工程分包协议
分包合同才是一个工程项目真正划分金钱与风险的地方。主合同规定业主欠总承包商多少；本文件规定总承包商欠实际干活的专业队多少——当班组撤场、墙体开裂或账款拖欠时，法院最先看的就是它。本模板把工作范围、工期、分包金额、付款条件、保留金、保险、赔偿、安全义务以及主合同条款的向下传递写入同一份协议，并把您所在的州的规则套用到本州确实监管的条款上。
付款正是您所在的州有明确态度的部分。The contractor must pay the subcontractor within 7 days after the date the contractor receives the owner's payment. Late payment carries 1.5% per month.（Tex. Prop. Code §§ 28.002, 28.004）未确认法定保留金上限，因此保留金靠谈判：扣留比例不应高于业主对您的扣留，并应在工程验收时释放，而不是等整个项目结束。在附条件付款方面，措辞清晰的该条款在本州可以执行（Tex. Bus. & Com. Code ch. 56）。凡是会被剔除的地方，本模板改用带合理时限的“收到即付”：业主付款决定分包商何时收款，而不是是否收款。
风险通过三条条款转移，其中真正可谈的只有一条。保险把损失转给保险公司：一般责任险、汽车险，以及为分包商自身雇员投保的工伤保险，并把总承包商与业主列为首要且非分摊的附加被保险人，保险证明须在班组进场前拿到。这不是走过场——在您所在的州，A general contractor and a subcontractor may agree in writing that the general contractor will provide workers' compensation coverage; the general contractor is then the employer of the subcontractor and its employees for compensation purposes.（Tex. Lab. Code § 406.123）赔偿条款兜住保险覆盖不到的部分，而上限由州法设定：An indemnity clause in a construction contract is void to the extent it makes the subcontractor answer for the indemnitee's sole negligence; indemnity for shared fault is still allowed.（Tex. Ins. Code ch. 151）本模板会自动把第 9 条写到该上限，使条款得以保留而不是整条被判无效。
三个习惯能让分包合同远离法庭。每一项变更都要在动工前书面确认，写明价格及对工期的影响——口头增项是最常见的施工索赔。每次付款都交换留置权放弃书：报量时给有条件放弃书，款项到账后换无条件放弃书；分包商依Tex. Prop. Code ch. 53 (mechanic's, contractor's or materialman's lien)的通知与申报期限，自其本人最后一天施工起算，而非自总承包商起算。此外，在进场前确认市、县或州是否对该工种要求注册，因为未注册的分包商可能丧失收款权。
