Cómo usar este Contrato de Subcontratación de Construcción en US
El subcontrato es donde realmente se reparten el dinero y el riesgo de una obra. El contrato principal fija lo que el propietario debe al contratista general; este documento fija lo que el contratista general debe al oficio que ejecuta el trabajo, y es el papel que un juez lee primero cuando una cuadrilla se retira, un muro falla o una factura queda impaga. La plantilla reúne alcance, plazos, monto, condiciones de pago, retención, seguros, indemnización, seguridad y traspaso del contrato principal en un solo acuerdo, con las reglas de your state aplicadas a las cláusulas que su estado regula.
El pago es la parte sobre la que your state tiene una opinión. The contractor must pay the subcontractor within 7 days after the date the contractor receives the owner's payment. Late payment carries 1.5% per month. (Tex. Prop. Code §§ 28.002, 28.004) No se confirmó un tope de retención, así que se negocia: retenga no más de lo que le retienen a usted y libérelo al aceptarse la obra. Sobre el pago condicionado, una cláusula clara es exigible aquí (Tex. Bus. & Com. Code ch. 56). El riesgo se mueve por tres cláusulas y solo una es realmente negociable. El seguro traslada la pérdida a la aseguradora: responsabilidad civil, autos y compensación laboral para los empleados del sub, con el contratista general y el propietario como asegurados adicionales de forma primaria y no contributiva, y el certificado en mano antes de que llegue la cuadrilla. Eso no es papeleo: en your state, a general contractor and a subcontractor may agree in writing that the general contractor will provide workers' compensation coverage; the general contractor is then the employer of the subcontractor and its employees for compensation purposes. (Tex. Lab. Code § 406.123) La indemnización recoge lo que el seguro no cubre, y ahí el estado pone el techo: An indemnity clause in a construction contract is void to the extent it makes the subcontractor answer for the indemnitee's sole negligence; indemnity for shared fault is still allowed. (Tex. Ins. Code ch. 151) La plantilla escribe la Sección 9 hasta ese techo.
Tres hábitos evitan el tribunal. Documente cada cambio por escrito antes de ejecutarlo, con precio y efecto en la fecha. Intercambie una renuncia de gravamen con cada pago: condicional con la solicitud e incondicional cuando el dinero se acredite; los plazos del subcontratista bajo Tex. Prop. Code ch. 53 (mechanic's, contractor's or materialman's lien) corren desde su último día de trabajo. Y confirme antes de movilizar si la ciudad, el condado o el estado registran este oficio.
