How to use this Independent Contractor Agreement in Massachusetts

Describe the deliverables, not the hours; let the contractor set the schedule and use their own tools. Collect a W-9 before the first payment and file a 1099-NEC if you pay $2,000 or more in a calendar year (2026; indexed after 2026).

Pay on time — late payment is the most common freelance dispute.

Governing-law note: this agreement uses Massachusetts law and courts; a worker who lives and works in another state may be able to insist on that state's law and forum (e.g., Cal. Lab. Code § 925; RCW 49.62.050; C.R.S. § 8-2-113(6)).

Frequently asked questions

Does a contract make someone an independent contractor in Massachusetts?

No. Massachusetts applies the ABC test (Mass. Gen. Laws c. 149, § 148B (wage laws, ABC test); c. 151A, § 2 (unemployment ABC); workers' comp uses common-law test (c. 152, § 1(4))) to the actual relationship. This agreement is drafted to support contractor status, but the parties must also behave accordingly: the contractor controls how the work is done, uses its own tools, works for others, and — decisively — does work outside the usual course of the client's business.

Is there a freelancer payment law in Massachusetts?

No statewide freelance law; general contract law and this agreement's payment terms govern.

Can I add a non-compete?

In Massachusetts: limited (Mass. Gen. Laws c. 149, § 24L (Noncompetition Agreement Act; 'employee' includes independent contractors; max 12 months; garden leave or other consideration; void for non-exempt employees)). This template deliberately omits non-competes. A narrow non-solicitation clause is optional (M.G.L. c. 149, § 24L(a) (non-solicitation excluded from the Noncompetition Agreement Act; common-law reasonableness applies)).

Do I need to file a 1099?

File Form 1099-NEC if you pay the contractor $2,000 or more in a calendar year (2026 threshold under P.L. 119-21 § 70433; indexed after 2026). Collect a Form W-9 before the first payment.
